1. Indian Subscriber/Director Documents
For proposed subscribers/directors without DIN, MCA's V3 FAQ specifically highlights:
- PAN card;
- identity proof;
- residential address proof.
Keep clear, current documents with consistent:
- name;
- father's/parent details where applicable;
- date of birth;
- address;
- PAN.
A mismatch between PAN and incorporation data is a common resubmission cause.
2. Registered Office Documents
Common registered-office evidence includes:
- ownership proof or rent/lease agreement;
- NOC from the owner;
- recent utility bill;
- complete address with PIN.
MCA warns against:
- incomplete address;
- illegible utility bill;
- proof in the wrong person's name;
- missing NOC/rent agreement;
- mismatch between NOC and proposed company name;
- unsupported private utility bills.
3. MOA and AOA
The company's constitutional documents include:
- Memorandum of Association (MOA);
- Articles of Association (AOA).
For most normal incorporations these are completed through the current electronic linked-form workflow.
Do not attach an old scanned MOA/AOA when MCA requires the web-based e-form.
4. Director/Subscriber Declarations
Depending on the case, incorporation includes prescribed declarations and consent information such as:
- INC-9/e-declaration;
- director consent/information;
- disclosure of interests where required;
- subscriber declarations.
Use the current linked form generated by MCA.
5. OPC Additional Documents
An OPC additionally requires nominee-related information/consent and supporting identity/address evidence in the prescribed workflow.
Remember that current OPC rules permit an Indian citizen, whether resident in India or otherwise, as member/nominee subject to Rule 3.
6. Section 8 Additional Documents
A Section 8 incorporation can require:
- Section 8-specific MOA/e-MOA (INC-13 route as applicable);
- declarations prescribed for the non-profit objects;
- estimated income and expenditure for the prescribed period;

A new Section 8 company does not file INC-12 for the licence; the licence is processed through SPICe+.

- board resolution/authorisation to subscribe;
- authorised representative details;
- constitutional/ownership documents required by SPICe+.
Foreign-body-corporate documents can require notarisation/apostille/consularisation.
8. Foreign Subscriber/Director
MCA's SPICe+ FAQ distinguishes documentation by country of execution.
Depending on the country and Hague Convention/Indian consular rules, documents executed outside India can require:
- notarisation;
- apostille; or
- consular authentication.
Common documents include:
- passport;
- proof of identity;
- proof of residential address;
- foreign body corporate incorporation proof;
- executed MOA/AOA/authorisations.
Do not apply the Indian PAN/Aadhaar checklist mechanically to a foreign national.
9. DSC Requirements
The people required to sign electronic incorporation forms need valid DSCs.
DSC is an electronic signing credential—not a company-registration document issued by MCA.
