LLP Winding Up

Company Strike-Off (Fast Track Exit) under Section 248(2) of the Companies Act, 2013, is the official statutory process to voluntarily remove a defunct or inactive Private Limited Company from the register maintained by the Registrar of Companies (ROC), legally dissolving the corporate entity without court litigation.

A company is eligible if: (1) It has failed to commence business within 1 year of its incorporation, OR (2) It has not carried on any business or operation for 2 immediately preceding financial years and has not applied for Dormant Company status under Section 455. The company must have zero assets and zero liabilities on the application date.

You need: (1) Statement of Accounts in Form STK-8 certified by a practicing Chartered Accountant (< 30 days old showing nil assets and liabilities), (2) Indemnity Bond in Form STK-3 signed by all directors, (3) Affidavits in Form STK-4, (4) Special Resolution passed by 75% shareholders, and (5) Bank Account Closure Certificate.
